These Terms & Conditions (“Terms”) govern your access to and use of this website and any products, services, or content offered through it (collectively, the “Site”). The Site is operated by Stu Designs LLC (“we,” “our,” or “us”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.
1. Acceptance of Terms
By using the Site, you confirm that you have read, understood, and agree to these Terms and to any additional policies referenced here, including our Privacy Policy. These Terms constitute a legally binding agreement between you and us.
2. Eligibility
You must be at least 18 years of age, or the age of majority in your jurisdiction, and able to form a legally binding contract to use the Site or place an order. By using the Site, you represent that you meet these requirements and that all information you provide is accurate and current.
3. Changes to These Terms
We may update these Terms from time to time. Changes take effect when posted to this page with an updated “Last updated” date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms. We encourage you to review this page periodically.
4. Accounts & Account Security
If you create an account, you are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to:
- Provide accurate, complete, and current information;
- Keep your password confidential and use a strong, unique password;
- Enable multi-factor authentication where offered; and
- Notify us promptly of any unauthorized use of your account or any other security concern.
We are not liable for any loss arising from your failure to safeguard your credentials. We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security or fraud risk.
5. Products, Pricing & Availability
We strive to describe and price products accurately, but we do not warrant that product descriptions, images, pricing, or other content are error-free, complete, or current. Products are subject to availability, and we may limit quantities, discontinue products, or correct errors, including after an order is placed. Where a pricing or description error is identified, we may cancel the affected order and refund any amount charged.
6. Orders, Payment & Taxes
Your submission of an order is an offer to purchase, which we may accept or decline. A contract is formed only when we confirm and dispatch your order. You agree to provide valid payment information and authorize us (or our payment processor) to charge the total order amount, including applicable taxes, shipping, and fees. Prices are shown exclusive of applicable taxes unless stated otherwise; taxes are calculated at checkout where required. We may use third-party payment processors, and your use of their services is subject to their terms.
7. Shipping, Returns & Refunds
Shipping timelines are estimates and not guarantees. Risk of loss passes to you upon delivery to the carrier unless otherwise required by law. Returns, refunds, and cancellations are handled in accordance with our posted shipping and returns information and applicable consumer-protection law. Please review that information before ordering.
8. Intellectual Property
All content on the Site—including designs, text, graphics, logos, images, product artwork, and software—is owned by or licensed to us and is protected by intellectual-property laws. You may not copy, reproduce, distribute, modify, or create derivative works from any part of the Site without our prior written permission. Nothing in these Terms grants you any right or license except the limited right to access and use the Site for personal, non-commercial purposes.
9. User Content & Reviews
If you submit reviews, comments, images, or other content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute that content in connection with the Site and our business. You represent that you own or have the rights to the content you submit and that it does not violate any law or third-party right. We may remove content that we consider unlawful, misleading, abusive, or otherwise objectionable, and we do not solicit or manipulate reviews.
10. Acceptable Use
You agree not to:
- Use the Site for any unlawful, fraudulent, or unauthorized purpose;
- Introduce viruses, malware, or other harmful code, or attempt to gain unauthorized access to the Site, accounts, or connected systems;
- Interfere with or disrupt the Site, its infrastructure, or other users' use of it;
- Use automated means (bots, scrapers, harvesters) to access or collect data without our written permission;
- Infringe our or any third party's intellectual-property or privacy rights; or
- Attempt to probe, scan, or test the vulnerability of the Site except as expressly authorized in writing.
11. Third-Party Links & Services
The Site may link to or integrate third-party websites and services. We do not control and are not responsible for the content, policies, or practices of third parties. Your use of third-party services is at your own risk and subject to their terms and privacy policies.
12. Information Security & Data Protection
We maintain an information-security program designed to protect the Site and the data entrusted to us, aligned with recognized industry standards. Our program includes the following published commitments:
12.1 Daily-Operations Security Baseline
We enforce a workplace security baseline across our operations, including: enforced password complexity (minimum length with a mix of upper-case, lower-case, numeric, and special characters, and prohibited reuse); multi-factor authentication on all user, administrative, and remote-access accounts; automatic screen locking after a short period of inactivity (no more than 15 minutes); a clear-desk and clear-screen practice; endpoint protection and full-disk encryption; and security-awareness training at onboarding and at regular intervals.
12.2 Access Control & Least Privilege
We maintain a published access-control policy. Access to systems and to personal data is granted only on a least-privilege, need-to-know basis. Personal data is compartmentalized so that individuals can access only the data required for their role. Access rights are formally provisioned, reviewed at least annually, and revoked promptly—and in all cases within 48 hours—upon a change of role or separation. Remote access uses encrypted connections, and credentials and keys are protected and never hard-coded or publicly exposed.
12.3 Encryption
We encrypt data in transit using current secure protocols (TLS 1.2 or higher) and encrypt sensitive and personal data at rest. Encryption keys are managed centrally with appropriate access controls and rotation.
12.4 Incident Response
We maintain a published incident-response policy with clearly assigned roles and responsibilities, including a designated, readily available incident point of contact. The policy defines detection, containment, eradication, recovery, and post-incident review, and it establishes both internal and external reporting and communication channels. Where an incident affects personal data or a partner platform's data, we notify the affected parties, and any relevant platform or regulator, without undue delay and consistent with applicable law and contractual requirements. Relevant logs and evidence are preserved to support investigation. The policy is reviewed at least every six months and after any major system change.
12.5 Vulnerability & Threat Management
We maintain a documented vulnerability- and threat-management procedure. This includes vulnerability scanning of our systems and environment at least quarterly, penetration testing at least annually, patch and dependency management, and continuous log monitoring and alerting. Identified issues are prioritized and remediated on a risk-based schedule, with critical vulnerabilities addressed on an expedited basis.
12.6 Network Protection
Our production systems are segregated into an internal, access-controlled environment without public inbound exposure, and are monitored using network- and host-based intrusion-detection and prevention controls, firewalls, and anti-malware tooling.
13. Privacy
Our collection and use of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference. We process personal data only for legitimate business purposes such as fulfilling orders and providing support, and we do not sell personal data except as disclosed and permitted by law.
14. Disclaimers
The Site and all products and content are provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.
15. Limitation of Liability
To the fullest extent permitted by law, we and our affiliates, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Site or these Terms, even if advised of the possibility of such damages. Our total aggregate liability for any claim relating to the Site or a purchase will not exceed the amount you paid for the applicable product or, where no purchase was made, one hundred US dollars (US$100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
16. Indemnification
You agree to indemnify, defend, and hold harmless us and our affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any law or third-party right.
17. Governing Law & Disputes
These Terms are governed by the laws of the State of [State], without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Site will be resolved exclusively in the state or federal courts located in [County/State], and you consent to their jurisdiction, except where applicable law provides otherwise.
18. General Provisions
These Terms, together with the policies referenced here, are the entire agreement between you and us regarding the Site. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any right or provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
